Corporate Paralegal

Greystar, a national apartment management company and industry leader is currently hiring a Corporate Paralegal for the Dallas office. The Paralegal will assist all members of the in-house legal department, including corporate attorneys. The Paralegal is responsible for assisting with corporate matters, including contract preparation and review and corporate governance matters. Qualified candidates should have previous experience, paralegal certificate preferred. The Company offers a competitive salary and benefits. EOE
Essential
Responsibilities:
Prepare, review and revise contracts with clients, including management agreements, consulting agreements, and subordination agreements.
Review and revise contracts with other third parties relating to, among other things, human resources, information technology, office leases, and personal property leases.
Prepare, review, and revise non-disclosure agreements.
Maintain corporate governance functions, including, but not limited to, maintaining corporate minute books, preparation of corporate documents, such as articles of incorporation, certificates of formations, operating agreements, bylaws, partnership agreements, notices of organizational meetings, corporate resolutions, and written consents of directors, officers, and managers.
Prepare documents regarding, and coordinate, formation of corporate entities and modifications to corporate attributes and coordinate with registered agent to maintain corporate existence.
Periodically, assist with litigation matters.
Assist with other projects and programs as requested.
Perform administrative functions such as assist in maintaining a paperless office by scanning and/or filing documents; perform word processing functions, perform filing, e-filing, service and mailing of documents, correspondence and courtesy copies, calendar deadlines

Estimated Salary: $20 to $28 per hour based on qualifications.

Don't Be Fooled

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
